Member agreement

This agreement is between Refurbr Ltd (REFURBR LTD, company number 16800898, registered in England and Wales, registered office Woodland Lodge, Dunston Business Village, Stafford Road, Penkridge, Staffordshire, ST18 9AB, United Kingdom) ("Refurbr Network", "we", "us") and the business named in the signature record (the "Member").
The primary account holder of each paid and service-only member signs this agreement as part of verification. It sits alongside, and forms part of, the Terms and conditions. If the two conflict, this agreement takes priority for the Member's obligations as a verified business. Words defined in the Terms have the same meaning here.
1. Accurate details and authority
The Member confirms that its company details, registration and VAT information, certificates and other documents given to Refurbr Network are accurate, current and genuine. The person signing confirms they are authorised to sign on the Member's behalf and to bind it to this agreement. The Member will update its details promptly if anything changes.
2. Team members
The Member is responsible for everything done through its account, including by its team members, and for making sure they follow the Terms and this agreement. The Member will keep login details secure, remove team members who should no longer have access, and tell us promptly at hello@refurbr.co.uk if it suspects its account has been misused.
3. Listings and declarations
- Listings will be accurate and kept up to date, including quantity, grade, tested status, stock availability, data-safe status and price. Listings for stock that is no longer available will be hidden or marked as sold promptly.
- Data-safe declarations will be honest. Where a batch is declared data-safe, all units have been data-sanitised and erasure certificates will be made available to the buyer on request.
- Tool badges will only be claimed where every unit in the batch went through that tool.
- Accreditation certificates supplied are genuine and current, and the Member will tell us if one lapses or is withdrawn.
- Service and supplier listings will describe the Member's services accurately, and the Member will only claim capabilities it actually has.
4. Compliance with law
The Member will comply with all applicable law in its use of the network and its trading, including data protection law, WEEE regulations, consumer and trading law, anti-money laundering law, and sanctions. It will not list or deal in stolen, blacklisted, counterfeit or illegally obtained devices. Before listing devices that have an IMEI or serial number, it will take reasonable steps to check that they aren't reported lost, stolen or blacklisted, such as checking IMEI or serial numbers against a recognised device-status database, and will keep a record of those checks and share it with the buyer on request.
5. Other members' data
The Member will use other members' contact and business details only to deal with them about the listing, enquiry or order concerned, and will handle them in line with data protection law. In doing so the Member acts as an independent controller of that data. It will not add other members to marketing lists, sell or share their details, or contact them about unrelated matters without their permission.
6. Orders
Where the Member is the seller on a confirmed order summary, it will raise the order and send the pro-forma invoice to the buyer within the timeframe it stated, following its normal sale process. Its own terms of sale apply to the order. Where the Member is the buyer, it will deal with the seller in good faith on the terms confirmed. Refurbr Network is not a party to any order.
7. Reporting sales
Reporting sale prices is optional. Where the Member does report a sale, it will report it honestly. We may use reported sales in aggregated form, for example to show the total value traded on the network, without identifying the Member.
8. Verification and re-review
The Member will cooperate with verification and any re-review, for example after a change of business name or verified details, and will provide documents reasonably requested. Verified Business status and badges are granted at our discretion and may be removed if the Member no longer meets the requirements.
9. Breach and indemnity
If the Member breaches this agreement or the Terms, Refurbr Network may hide or remove listings, remove badges or the Verified Business status, suspend the account, or close it, as set out in the Terms. Where we reasonably can, we'll tell the Member why and give it a chance to put things right first.
The Member will indemnify Refurbr Ltd against losses, costs (including reasonable legal costs), fines and claims by third parties arising from the Member's breach of this agreement or the Terms, from a false listing, declaration or badge claim, or from goods or services the Member supplies through introductions made on the network. This doesn't apply to the extent the loss was caused by our own breach or negligence.
10. Changes to this agreement
We may update this agreement. We'll tell the Member about material changes by email at least 30 days before they take effect. The Member will need to sign the updated version before its next verification submission, and continuing to use paid or service-only features after the change takes effect means the Member accepts it.
11. General
This agreement continues for as long as the Member holds a paid or service-only membership, and the indemnity in section 9 survives its end. If any part of this agreement is found unenforceable, the rest continues to apply. A failure or delay in enforcing any right is not a waiver of it. This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
The Member's primary account holder signs this agreement electronically in the portal at verification by entering their full name and role and confirming they have authority to agree on the Member's behalf. We record the signer's name, role, account, the date and time, and the version signed. That record is the Member's signature to this agreement.
